Master Page
Master pages allow you to create a consistent layout for the pages in your site or sub-site such as having a page header, footer or navigation to universal pages. Individual content pages merge with the master page to display the finished page.

Page Layout
Page layouts are framework pages that, once deployed, carry the site's content - including lists of user content, document libraries, and other web parts that can be used to redefine stored content or endow the page with additional functionality. User's can easily add their lists, libraries and web parts to one or more web part zones declared in a page layout.
